Terms of Service Updated: February 12, 2025 IMPORTANT: THIS AGREEMENT CONTAINS BINDING CLASS ACTION AND JURY TRIAL WAIVERS (SECTION 13). These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “Agency,” “Customer”) and buildassistants.app (“we,” “us”), governing use of our B2B SaaS platform that enables agencies to license, white label, and market AI assistant solutions to local businesses.

1. Definitions

  • Platform/Services: Our software, applications, and related services
  • User/Customer/Agency: Any individual or entity using the Services
  • Content: Data or information submitted through the Services

2. Acceptance and Modifications

By using our Services, you accept these Terms. We may update Terms anytime; continued use equals acceptance.

3. License Grant

We grant you a limited, non-exclusive, revocable license to use the Services for internal business operations or reselling to local businesses per your contract with us.

4. Restrictions

You shall not:
  • Reverse engineer the Platform
  • Use Services unlawfully or maliciously
  • Infringe intellectual property rights
  • Resell beyond permitted scope
  • Misuse voice AI for unsolicited calls, deceptive practices, or legal noncompliance
We may immediately suspend/terminate access for violations.

5. Account Security

You must provide accurate registration information and maintain account security. You’re responsible for all account activity.

6. Fees and Payment

Fees are communicated in advance and non-refundable unless stated otherwise. We may suspend services for non-payment.

7. Intellectual Property

All Platform rights remain ours. White labeling must follow our guidelines.

8. Data Privacy

Use is governed by our Privacy Policy. Both parties maintain confidentiality of proprietary information.

9. Warranties

SERVICES PROVIDED “AS IS” WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED.

10. Liability Limitation

WE’RE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS/DATA.

11. Indemnification

You indemnify us against claims arising from your use, Terms breach, or third-party rights violations.

12. Termination

We may terminate immediately for breach. Upon termination, all rights cease.

​
13. Dispute Resolution

Governing Law: Georgia law applies; disputes resolved in Georgia courts. CLASS ACTION WAIVER: All claims must be individual only. JURY TRIAL WAIVER: Both parties waive jury trial rights.

14. General

  • These Terms constitute the entire agreement
  • Invalid provisions don’t affect remaining Terms
  • No assignment without our consent
  • Force majeure events excuse performance
